Terms of Service for Advisory Engagement
We outline clear terms for using our advisory services and resources responsibly.
Our Terms of Service
1. Acceptance of Terms
By accessing this website, purchasing a subscription, or checking the “I agree” box at checkout, you (“Client,” “you”) agree to be bound by these Terms & Conditions (“Terms”). If you purchase or enroll in a subscription advisory service, your engagement is also governed by the Advisory Services Subscription Master Agreement and the applicable Service Tier Addendum (together, the “Master Agreement”), which are incorporated into these Terms by reference and will be provided to you at or before onboarding. If any conflict arises between these Terms and the Master Agreement, the Master Agreement controls for matters relating to your specific advisory engagement, and these Terms control for all other matters relating to use of this website.
2. Description of Services
McGee Strategic Advisors LLC (“Advisor,” “we,” “us,” “our”) provides business consulting and advisory services on a subscription basis, which may include, without limitation, human resources consulting, labor and employee relations advisory, workplace investigations, operational risk assessment, security consulting, accounting advisory, forensic accounting review, business operations consulting, compliance advisory, partnership and business exit advisory, contract review, and general small business development consulting. Advisor has limited Spanish language capability and/or optional advisors that may be consulted to assist in certain investigative contexts; however, Advisor does not provide translation or interpretation services, and all formal communications, documents, and deliverables will be conducted in English.
3. Not Legal Advice; Licensing Disclaimer
Stephanie McGee is licensed to practice law in the State of California only. Legal advice and attorney-client services are available exclusively to clients with matters arising under California law. All services provided to clients in other states constitute business consulting and advisory services only and do not constitute legal advice, create an attorney-client relationship, or substitute for the advice of licensed legal counsel in your jurisdiction. You are encouraged to seek independent legal counsel for matters requiring legal representation outside of California. Advisor is also not a staffing or placement agency, and nothing in these Terms or the Master Agreement creates an employment relationship between Advisor and Client or between Advisor’s personnel and Client.
4. Subscription Plans, Fees, and Billing
4.1 Subscription tiers, monthly fees, included hours, and response-time commitments are described on this website and will be set forth in your Service Tier Addendum.
4.2 Monthly fees are due and payable on the first (1st) day of each month, beginning on your subscription’s effective date, and are billed automatically through our payment processor.
4.3 Advisory hours used in excess of your monthly allotment are billed at the overage rate stated in your Addendum. Up to fifty percent (50%) of unused hours in a given month may roll over to the following month only, after which they expire and have no cash value.
4.4 Invoices not paid within fifteen (15) days of the due date accrue interest at 1.5% per month (18% per annum), or the maximum rate permitted by law, whichever is less. We reserve the right to suspend services for accounts more than thirty (30) days past due.
4.5 You may elect to prepay twelve (12) months of services at a 10% discount as set forth in your Addendum. Annual prepayments are non-refundable except as described in Section 5 below.
4.6 We accept payment by credit card or ACH bank transfer. We reserve the right to change accepted payment methods or processors at any time.
4.7 We may adjust the Monthly Fee upon thirty (30) days’ written notice. If you do not agree to an adjusted fee, you may terminate your subscription as described in Section 5.
5. Term, Cancellation, and Refunds
5.1 Your subscription begins on the Effective Date and continues for a minimum of three (3) consecutive months (the “Minimum Commitment Period”), after which it automatically renews month-to-month until cancelled.
5.2 After the Minimum Commitment Period, you may cancel by providing thirty (30) days’ written notice. Notice given during the Minimum Commitment Period takes effect at the end of that period.
5.3 We may terminate your subscription upon thirty (30) days’ written notice, or immediately if you fail to pay any amount due within thirty (30) days of the due date, materially breach these Terms or the Master Agreement and fail to cure within ten (10) days of notice, or engage in conduct we reasonably determine to be unlawful, unethical, or harmful.
5.4 Upon termination, you remain responsible for all fees and overage charges accrued through the effective date of termination. Prepaid annual fees are refunded on a pro-rata basis for unused complete months, less any overage charges owed. Completed work product is delivered upon receipt of final payment.
6. Client Responsibilities
You agree to: provide accurate, complete, and timely information necessary for us to perform services; designate a primary point of contact authorized to communicate with us; notify us promptly of changes in your business, personnel, or circumstances that may affect services; cooperate fully in connection with workplace investigations or other time-sensitive engagements; maintain the confidentiality of advice, strategies, and work product we provide; and pay all fees in accordance with Section 4.
7. Confidentiality
Each party agrees to hold the other’s non-public information in strict confidence and not disclose it to third parties without prior written consent, except as required by law. This obligation survives termination of your subscription for three (3) years.
8. Intellectual Property and Work Product
Documents, policies, handbooks, reports, forms, assessments, and other work product we create specifically for you become your property upon full payment of all fees due. We retain the right to use general methodologies, frameworks, and know-how developed during the engagement for other clients, and we retain all rights in our pre-existing templates, tools, and methodologies incorporated into your work product, which we license to you on a non-exclusive, non-transferable basis for your internal business use.
9. Disclaimer of Warranties
This website and its content are provided “as is.” Content on this website may contain technical inaccuracies or typographical errors and may be changed or updated without notice. We make no representation or warranty regarding the completeness, quality, or adequacy of this website or its content, and we specifically disclaim all warranties, express or implied, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We make no guarantee that our advisory services will produce any particular business, legal, financial, HR, or operational outcome; business consulting is advisory in nature, and ultimate decisions and their consequences remain with you.
10. Limitation of Liability and Indemnification
10.1 In no event will our total liability to you for any claim arising under or related to your subscription exceed the total fees you paid us in the three (3) months immediately preceding the event giving rise to the claim. We are not liable for any indirect, incidental, consequential, special, or punitive damages, even if we have been advised of the possibility of such damages.
10.2 You agree to indemnify, defend, and hold harmless Advisor and its members, officers, employees, and agents from claims, losses, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising from your use or misuse of our services or work product, your breach of these Terms or the Master Agreement, or third-party claims arising from actions you take, or fail to take, based on our recommendations.
11. Independent Contractor
Advisor is an independent contractor. Nothing in these Terms creates a partnership, joint venture, agency, employment, or franchise relationship between the parties.
12. Taxes
Fees stated do not include any applicable sales, use, or similar taxes. You are responsible for any such taxes associated with your subscription, other than taxes based on our net income.
13. Copyright and Trademarks
All content on this website is the property of McGee Strategic Advisors LLC. Copyright © 2026 McGee Strategic Advisors LLC. All rights reserved. You may view, copy, print, and distribute pages from this website only for informational purposes and only if any copy includes this copyright notice. All brand, product, and service names appearing on this website are trademarks of their respective holders; reference to a third-party product or service does not imply our endorsement of it, nor does anything here grant any license under our (or any third party’s) patent, copyright, trademark, or other intellectual property rights, except as expressly stated.
14. Dispute Resolution
14.1 Informal Resolution. We will attempt in good faith to resolve any dispute arising out of or relating to these Terms or your subscription through informal negotiation for at least thirty (30) days following written notice identifying the dispute.
14.2 Mediation. If informal negotiation does not resolve the dispute, the parties agree to submit it to non-binding mediation before a mutually agreed mediator in Washington State before initiating arbitration, with mediation costs shared equally.
14.3 Binding Arbitration. If mediation does not resolve the dispute within sixty (60) days, the dispute will be resolved by binding arbitration administered in Washington State under the rules of the American Arbitration Association, before a single arbitrator, whose decision is final and binding and may be entered as a judgment in any court of competent jurisdiction.
14.4 Attorneys’ Fees. In any arbitration or legal proceeding arising out of these Terms, the prevailing party is entitled to recover its reasonable attorneys’ fees and costs.
15. Governing Law
These Terms, and any subscription entered into through this website, are governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict-of-law provisions.
16. Notices
All notices under these Terms must be in writing and delivered by email with confirmation of receipt, overnight courier, or certified mail to the address provided by each party at signing (or, for Advisor, to the contact information published on this website).
17. Miscellaneous
17.1 Entire Agreement. These Terms, together with the Master Agreement where applicable, constitute the entire agreement between you and us regarding this website and our services, and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written.
17.2 Amendments. No modification of these Terms is effective unless authorized by us. We may update these Terms from time to time by posting the revised version on this website.
17.3 Severability. If any provision of these Terms is found contrary to law, that provision will be construed to closely reflect the parties’ intentions, with the remaining provisions continuing in full force and effect.
17.4 Waiver. No waiver of any provision is effective unless in writing, and no waiver is a continuing waiver or a waiver of any other provision.
17.5 Force Majeure. Neither party is liable for delays or failures in performance resulting from causes beyond its reasonable control, including natural disasters or acts of government, provided the affected party gives prompt notice and uses reasonable efforts to mitigate the impact.
17.6 Counterparts/Electronic Signature. Where applicable, agreements referenced herein may be executed in counterparts, including by electronic signature, each deemed an original.
17.7 Void Where Prohibited. Not all services described on this website are available to all persons or in all jurisdictions; we reserve the right to limit availability to any person, geographic area, or jurisdiction.
These Terms were last updated August 24, 2026. Questions about these Terms may be directed to us using the contact information provided on this website.
